Parties

These terms apply between API Arc Consulting (sole proprietorship, SSM 202003156789, proprietor Lim Wei Jian), 27,Jalan Tun Fuad Stephens, 88000 Kota Kinabalu, Sabah, Malaysia (“we”, “us”), and the client entity or individual who accepts a statement of work (“you”, “Client”).

Services

We provide paid programming consulting focused on API design and integration, delivered as scoped projects or ongoing technical advisory. Specific deliverables, fees, and timelines appear only in a signed or written statement of work (SOW) or order confirmation.

Quotes and acceptance

Verbal discussions are non-binding until an SOW is agreed. Work starts after you accept the SOW and any required deposit is received.

Fees and payment

Fees are quoted in Malaysian Ringgit (MYR) unless stated otherwise. Unless the SOW says differently:

• Invoices are due within fourteen (14) calendar days.
• Late amounts may pause work after notice.
• Prices exclude applicable taxes unless explicitly marked inclusive.

Payment methods will be listed on your invoice (bank transfer is typical).

Client responsibilities

You provide timely access to stakeholders, documentation, non-production environments, and decision makers. Delays caused by missing access may shift schedules and may incur re-planning fees if stated in the SOW.

Intellectual property

Unless the SOW states otherwise, upon full payment you receive a license to use deliverables created specifically for you. We retain rights to general know-how, templates, and pre-existing materials. Third-party open-source components remain under their licenses.

Confidentiality

Each party will protect the other’s confidential information using reasonable care and use it only to perform the engagement.

Warranties and liability

Services are provided with professional skill and care appropriate to consulting work. Except where Malaysian law does not allow exclusion, we are not liable for indirect or consequential loss, and our aggregate liability under any SOW is limited to the fees paid under that SOW in the three months preceding the claim.

Consumer rights

Nothing in these terms limits mandatory rights under the Consumer Protection Act 1999 where you qualify as a consumer. Disputes within the Tribunal for Consumer Claims jurisdiction may be brought there up to RM 50,000.

Governing law

Malaysian law governs. Courts of Malaysia have exclusive jurisdiction, subject to consumer tribunal options above.

Changes

We may update these general terms on this page. Active SOWs continue under the terms in effect when they were signed unless both parties agree otherwise.
